Terms of Service

Legal text follows in English. The English version governs in case of any discrepancy with translations of MauriHR documentation.

1. Acceptance

By accessing MauriHR (“the Service”) you agree to these Terms. The Service is operated by MauriResources Ltd., a private company incorporated in Mauritius (BRN C26234233).

2. Description of Service

MauriHR is a multi-tenant HR operating system for Mauritian SMEs covering employee management, attendance, leave, payroll, statutory exports (MRA / PRGF / HRDC / EDF / ROE / PACO), AI document generation, and (PRO+) meeting-room booking.

3. Multi-tenant data isolation

Each Tenant runs in a logically isolated PostgreSQL row-level-security context. No Tenant can read or write another Tenant's data.

4. Cross-border data transfer (DPA §36)

By accepting these Terms you acknowledge that hosting (Hetzner, Germany), backups (Backblaze B2, USA), AI inference (OpenAI / Anthropic, USA), OCR (Microsoft Azure, EU), edge security (Cloudflare), and error tracking (Sentry) are performed outside Mauritius. Each sub-processor is bound by a written transfer agreement; the full list is maintained in the Privacy Notice. You must collect §36(1)(b) explicit consent from your data subjects before processing their personal data through MauriHR. The registration consent flow does this for you.

5. Statutory accuracy SLA

MauriResources targets statutory rate, threshold, and form-format updates within 14 days of MRA gazette publication for routine changes, or before the first scheduled run that depends on them, whichever is sooner. The MauriHR service will operate this target in the production environment with a documented remediation policy published alongside each subscription tier. Refund and credit terms applicable on missed statutory deadlines are specified in the active product Order Form executed with each Tenant on subscription.

6. Continuity & 365-day exit support

MauriResources Ltd. is committed to data portability and continuity of service. We guarantee 365 days of exit support after notice of termination, including full SQL and CSV exports of all your tenant data, available 24/7 from the platform settings page. A source-code escrow arrangement with a third-party agent will be published as part of the BUSINESS-tier launch; until then, continuity is assured by the export guarantee above and the right of any Tenant to migrate to an alternate provider during the exit window.

7. 30-day money-back + sandbox & pilot

New Tenants get a free 14-day sandbox (5-employee cap, no payroll) to evaluate. Paying Tenants are entitled to a 30-day money-back guarantee during the first three calendar months of their subscription. PRO + BUSINESS Tenants may also request a 30-day paid pilot with a credit applied to the first invoice on conversion.

8. Compliance assistance, not legal advice

The Service helps you comply with Mauritian labour and tax law (WRA 2019, PRGF Act, DPA 2017, Income Tax Act, VATA, Special Allowance Act 2024 etc.) but does not constitute legal or tax advice. You remain responsible for the lawfulness of your filings and for engaging counsel where required.

9. Account responsibilities

The Tenant admin who registers manages access, invites employees, and is the Controller for DPA 2017 purposes. Credentials must be distributed through secure channels; lost or compromised credentials must be rotated promptly.

10. Data retention

See Privacy Notice §7. Five years post-termination for operational data; seven years for payroll + banking; rolling five years for audit log.

11. Limitation of liability

The Service is provided “as is”. To the maximum extent permitted by Mauritian law, MauriResources Ltd.'s aggregate liability for any claim arising under these Terms is capped at twelve (12) months of fees paid by the Tenant before the date the claim arose. Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be limited under applicable law.

12. Governing law & venue

These Terms are governed by the laws of the Republic of Mauritius. Any dispute is subject to the exclusive jurisdiction of the Mauritian courts.
